End-User License Agreement

This End-User License Agreement (“Agreement”) is between you (“you” or “Licensee”) and Meloclub SAS (“Meloclub”, “Audiopunks”, “we”, “us”), the developer and owner or authorized licensor of Audiopunks software and related products (the “Software”).

By downloading, installing, activating, or using the Software, you agree to this Agreement. If you do not agree with these terms, please do not install or use the Software.

1. Your License

When you purchase an Audiopunks license, Meloclub grants you a limited, non-exclusive license to install and use the Software in accordance with this Agreement.

The Software is licensed, not sold. Meloclub retains ownership of the Software and all intellectual property rights relating to it.

We want you to be able to use Audiopunks products freely in your creative work. Subject to the restrictions below, you may use the Software for both personal and commercial purposes.

2. Free Trial

Where a free trial is offered, you may use the Software for 14 days free of charge to evaluate it before purchasing a license.

The trial begins when the Software is first activated for trial use.

The trial is intended to give you a genuine opportunity to test the Software in your own workflow before purchasing. You are not required to purchase a license after trying a product.

To prevent abuse of the trial system, Meloclub may restrict repeated trials of the same Software or use technical measures to determine whether a trial has already been used.

3. Purchases and Refunds

We encourage you to take advantage of the available 14-day trial before purchasing a Software license.

Because Software may be evaluated through a free trial where one is offered, purchases are generally final and Meloclub does not offer refunds for a change of mind, dissatisfaction after purchase, or failure to try the available trial beforehand.

Nothing in this section limits any rights that cannot legally be excluded under applicable law.

In particular, consumers retain their mandatory statutory rights relating to defective or non-conforming digital content.

Where required for the immediate supply of digital content, you may be asked at checkout to expressly request immediate delivery and acknowledge that you lose your statutory right of withdrawal once the applicable legal conditions have been met.

4. Use of the Software

Unless otherwise specified for a particular product or license:

  • You may install the Software on up to two computers that you own or control.
  • You may use the Software for personal and commercial purposes.
  • You may use the Software in music, recordings, films, television, games, advertising, podcasts, performances, sound design, and other creative works.
  • You may freely distribute, sell, broadcast, or otherwise exploit works that contain sounds or audio processed using the Software.
  • No additional royalties are owed to Meloclub for works created using the Software.

A single-user license is intended for use by the individual or entity to whom it was issued. It should not be shared between multiple users.

If you need additional seats or a multi-user license for a team, studio, company, or educational institution, please contact Meloclub.

5. Installation and Activation

Audiopunks Software may use an activation or licensing system to verify your license and help prevent unauthorized use.

You agree to provide accurate information where reasonably necessary for license management and activation.

Meloclub may use reasonable technical measures to protect its Software and licenses against unauthorized copying, distribution, or use.

These measures are intended to protect Audiopunks and its users and should not interfere with legitimate use of a valid license.

6. What You May Not Do

You may not:

  • Share, sell, rent, lease, sublicense, or distribute the Software itself to another person or entity.
  • Make the Software available for download by third parties.
  • Share your activation credentials or license in a way that allows another person to use your license.
  • Circumvent, disable, or deliberately interfere with the Software’s licensing or copy-protection mechanisms.
  • Reverse engineer, decompile, or disassemble the Software, except where such activity cannot legally be prohibited under applicable law.
  • Modify or create derivative versions of the Software, except where permitted by applicable law.
  • Separate or reconfigure components of the Software for the purpose of bypassing licensing restrictions or other technical limitations.

These restrictions apply to the Software itself and do not prevent you from freely using or distributing music, recordings, or other creative works produced with the Software.

7. Backup Copies

You may make reasonable backup copies of the Software for your own archival purposes.

Backup copies must remain under your control and may not be distributed to other users.

8. License Transfers

We understand that circumstances change. Where permitted for a particular product, you may request a permanent transfer of your license to another person or entity.

The transfer must be completed through Meloclub’s applicable transfer procedure.

Any applicable transfer fee and conditions will be communicated at the time of the transfer request.

Once a transfer has been completed, the original license holder must stop using the Software and remove their installations and copies.

Meloclub may reasonably refuse a transfer where necessary to prevent fraud, abuse, or other misuse of the licensing system.

9. Updates and Compatibility

Meloclub may provide updates, improvements, bug fixes, compatibility updates, and new versions of the Software.

We will make reasonable efforts to maintain compatibility with supported operating systems and plug-in formats, but we cannot guarantee compatibility indefinitely with every operating system, DAW, plug-in host, computer, or third-party product.

Where applicable law requires updates necessary to maintain conformity of the Software, Meloclub will provide them in accordance with that law.

10. Technical Data and Privacy

The Software and its licensing systems may process technical information necessary for activation, license management, security, fraud prevention, troubleshooting, and product improvement.

Depending on the service used, this may include information relating to your license, installation, device, operating environment, or account.

11. Legal Guarantee of Conformity

Nothing in this Agreement limits the mandatory legal rights of consumers.

Where applicable, Meloclub is responsible for the legal conformity of its digital content in accordance with applicable law.

Under French law, consumers benefit from the legal guarantee of conformity applicable to digital content and services.

Where a valid conformity issue occurs, the remedies provided by applicable law remain available, including bringing the Software into conformity and, where the legal conditions are met, a price reduction or termination of the contract.

This legal guarantee is separate from our optional 14-day trial.

12. Support

We want Audiopunks products to work well in real-world production environments.

If you experience a technical problem, please contact Meloclub support and provide the information reasonably necessary to investigate the issue.

Where technically possible, we will work with you to identify and resolve problems with the Software.

13. Disclaimer

Except for rights and warranties that cannot legally be excluded, Meloclub does not guarantee that the Software will operate without interruption or error in every environment or configuration.

Compatibility may depend on your operating system, computer hardware, DAW, plug-in format, drivers, third-party software, and other technical factors outside Meloclub’s control.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Meloclub shall not be liable for indirect, incidental, special, or consequential losses arising from the use of, or inability to use, the Software, including loss of profits, revenue, business opportunities, or data.

To the maximum extent permitted by applicable law, Meloclub’s total liability arising from the Software or this Agreement shall not exceed the amount actually paid for the Software giving rise to the claim.

Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.

15. Termination

You may stop using the Software at any time.

If you materially breach this Agreement, Meloclub may suspend or terminate your license where reasonably necessary, subject to applicable law.

If your license is terminated, you must stop using the Software and remove it from your devices.

Termination does not affect any rights or obligations that arose before termination, nor does it affect any mandatory rights you may have under applicable law.

16. Changes to the Software or Service

Audiopunks is an evolving product line. We may improve, modify, discontinue, or replace products, features, activation systems, or services from time to time.

Where a change materially affects your legal rights or the conformity of Software you have already purchased, applicable statutory rights remain unaffected.

17. Consumer Protection

If you are a consumer, nothing in this Agreement is intended to deprive you of mandatory rights granted by the laws applicable to you.

In particular, nothing in this Agreement excludes mandatory consumer protection rules concerning digital content, legal guarantees, withdrawal rights, or other protections that cannot legally be waived.

18. Governing Law

This Agreement is governed by French law, subject to any mandatory consumer protection rules that apply in your country of residence.

If you are a consumer, you retain any mandatory rights concerning jurisdiction and consumer protection granted by the laws applicable to you.

19. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
